1. Acceptance of Terms

By accessing our website, placing orders, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you represent a business entity, you confirm that you have the authority to bind that entity to these Terms.

2. Products and Services

SA Trade Link specializes in premium textile manufacturing and trading services, including but not limited to:

• Fabric Analysis & Quality Control
• Research & Development of textile products
• Knitting services for various fabric structures
• Dyeing & Finishing services
• Printing services for textiles
• Stitching & Sewing for finished products

We reserve the right to modify, discontinue, or update our product and service offerings at any time without prior notice.

3. Orders and Quotations

All orders placed with SA Trade Link are subject to the following conditions:

• Quotations are valid for 30 days from the date of issuance unless otherwise specified.
• Orders are binding only after our written confirmation, which may be in the form of a proforma invoice or formal order acknowledgment.
• Minimum order quantities may apply and vary by product type.
• Order cancellations must be requested in writing and are subject to our approval. Cancellation fees may apply depending on the production stage.

4. Pricing and Payment

Our pricing and payment terms include:

• All prices are quoted in PKR otherwise specified and are exclusive of taxes, duties, and shipping costs.
• We accept payments via bank transfer, letter of credit, or other methods as specified in our invoice.
• Late payments may incur interest charges per month or the maximum rate permitted by law.

5. Shipping and Delivery

Our shipping and delivery policies are as follows:

• Delivery times are estimates and not guaranteed. We will make reasonable efforts to meet delivery schedules.
• Risk of loss and title to goods passes to the buyer upon delivery to the carrier at our facility (Ex Works - Lahore, Pakistan), unless otherwise agreed in writing.
• We are not responsible for delays caused by factors beyond our control, including customs clearance, transportation issues, or force majeure events.
• International shipments may be subject to customs duties and taxes, which are the responsibility of the buyer.

6. Product Quality and Specifications

We are committed to delivering high-quality textile products that meet industry standards:

• All products are manufactured according to agreed specifications and undergo quality control before shipment.
• Minor variations in color, texture, weight, and other characteristics are inherent in textile manufacturing and do not constitute defects.
• Acceptable quality levels (AQL) follow industry standards unless otherwise specified in writing.
• We recommend pre-production samples for approval before bulk production to ensure satisfaction with the final product.

7. Inspection and Claims

Our policy regarding product inspection and claims:

• Buyers must inspect products upon receipt and report any visible defects within 7 days of delivery.
• Claims for hidden defects must be reported within 30 days of delivery, along with supporting evidence.
• Claims must be submitted in writing with detailed description, photographs, and samples of defective products when possible.
• We reserve the right to inspect claimed defects before approving returns or compensation.

8. Intellectual Property

Regarding intellectual property rights:

• All content on our website, including text, graphics, logos, and images, is our property and protected by intellectual property laws.
• Custom designs, patterns, and technical specifications created by us remain our intellectual property unless otherwise agreed in writing.
• When providing designs or patterns, buyers warrant that they own or have licensed all necessary intellectual property rights and will indemnify us against any claims of infringement.

9. Limitation of Liability

Our liability is limited as follows:

• Our maximum liability for any claim arising from the products or services shall not exceed the purchase price of the specific products or services giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption.
• We make no warranties beyond those expressly stated in these Terms or in written agreements with customers.

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during business transactions, including product specifications, pricing, and business strategies. This obligation continues for 3 years after the last transaction between the parties.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including natural disasters, pandemics, war, civil unrest, labor disputes, power outages, or government actions. The affected party shall notify the other promptly and resume performance as soon as practicable.

12. Dispute Resolution

Any disputes arising from these Terms or business transactions shall be resolved as follows:

• Parties will attempt to resolve disputes through good-faith negotiation.
• If negotiation fails, disputes shall be submitted to arbitration in Lahore, Pakistan, under the rules of the Pakistan Arbitration Association.
• The arbitration shall be conducted in English by a single arbitrator mutually selected by the parties.
• The arbitrator's decision shall be final and binding on both parties.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services or placement of orders after such changes constitutes acceptance of the modified Terms.
